DISCLOSURES UNDER SUSTAINABLE FINANCE DISCLOSURE REGULATION

The following disclosures are made pursuant to Regulation (EU) 2019/2088 in respect of Littlejohn Fund VII-A, L.P.
Transparency of sustainability risk policies (Article 3 SFDR)
Littlejohn Fund VII Manager, L.P. (“Littlejohn”) follows a defined a set of principles that will guide its consideration of material ESG issues in investment decisions and ownership practices. Through its Environment, Social and Governance (“ESG”) Investment Policy (“ESG Policy”), Littlejohn strives to align generally with the industry guidelines set forth in the United Nations Principles for Responsible Investment and the United Nations Global Compact.
Littlejohn will seek to enhance ESG management capacity among its investment professionals. Littlejohn strives to implement this commitment by:
• Providing investment professionals with its ESG Policy and related ESG documentation;
• Continuing to build ESG awareness among its investment professionals by providing periodic ESG training; and
• Engaging internal and external experts, where relevant, to assess the ESG standing of target investments and portfolio companies.
During the due diligence phase of target investments, Littlejohn will seek to consider material ESG issues in investment decisions. Littlejohn strives to implement this commitment by:
• Sending its proprietary ESG Due Diligence Questionnaire to target investments;
• Assessing target investments’ ESG risks and opportunities, as appropriate; and
• Discussing relevant ESG issues during investment committee reviews.
No consideration of adverse impacts of investment decisions on sustainability factors (Article 4 SFDR)
Littlejohn does not currently consider adverse impacts of investment decisions on sustainability factors as defined by SFDR. Littlejohn has chosen not to do so presently as it considers its existing ESG policies and procedures to be appropriate and proportional to adequately identify and take into account potential negative externalities arising from its investment decisions. Littlejohn continues to monitor regulatory developments with respect to SFDR and other applicable ESG-focused laws and regulations, including the implementation of related and secondary legislation and regulatory guidance and will, where required or otherwise appropriate, make changes to existing policies and procedures.
